Font Software End User Licence Agreement (EULA)

 

This is an agreement between you, the Licensee – or “License Owner” – and Floriane Rousselot (Typelab). By purchasing, or downloading, or installing, or using, or otherwise handling digital typeface software (hereafter “Fonts”) by Typelab, you the purchaser and the owner accept the terms of this agreement. In accepting the terms of this agreement, you acknowledge understand - ding and complying with its terms. If you are not the License Owner yourself but act as a payment facilitator or purchaser of the Fonts on behalf of the License Owner, you have to ensure that the License Owner accepts and complies with this exact EULA.

Acquiring a License from Typelab grants the License Owner the right to use specified Fonts as part of designed content produced and published under the name of, or on the behalf of, the License Owner, and on specified types of media. The design work might be produced by the License Owner or a Designer on behalf of the License Owner.

By obtaining a License, the License Owner does not purchase the copyright of the design or any other part of the Fonts, other than the non-exclusive, non-transferable right to use the Fonts for the use cases specified in this agreement, according to the License Owner’s provided specifications. All other use cases other than the specified ones require an additional License.

 

        1. Definitions

– «Typeface» is the collective name of a family of related Fonts.

– «Typeface» refers to the font software and the complete set of characters and glyphs of that Typeface. All representation or graphics of the character(s), glyph(s), style(s), weight(s), including derived images (png, jpeg, bitmap, etc.), rasterized vectors, code.

– License is the permission to use a Typeface on specified type of media.

– Licensee/License Owner/Client refers to the Buyer Supplier refers to Typelab official website is: www.typelab.fr.

– Typelab guarantees that it holds all the intellectual property rights to the Typeface and its distribution.

– License Tier is the size of a License, determined by the License Owner’s company size

– Subcontractor means the third party using the Fonts on behalf of the License Owner.

– The Designer is a Subcontractor of the License Owner.

 

        2. Ownership

Typeface License should be owned and also paid for by the company for which the Fonts are being use. With this understanding, a Designer can be the facilitator, the purchaser, or the user of a Font License. A Designer may purchase a Typeface License on behalf of a Client, but it is the Client who is the owner of that License.Only in the case that Designer and Client are the same legal entity can a Designer purchase and own a Font License.

Typelab shall at all times retain ownership of the Typeface(s) as originally downloaded by the Licensee. The Typeface(s) (and the copyright, and other intellectual property rights of whatever nature in the Typeface(s),- including any modifications made thereto- are and shall remain the property of Typelab (or Typelab’s Designers). The Licensee is purchasing a license effectively to use the Typeface(s), the Licensee does not own the Typeface(s) design, the Licensee is only purchasing the right to use the Typeface(s) and become a License Owner. Typelab reserves the right to grant licenses to use the Typeface(s) to third parties.

A Designer can not purchase a Typeface License on behalf of one Client and use it for another.

– Different entities commissioning a Designer must have their own, separate Font Licenses according to the specific use cases of their brands.

– As a License Owner, your Font License covers your own company and one initial Subcontractor.

– Licensed Fonts must only be used within the organization of the License Owner and that one initial Subcontractor working for the License Owner.

 

        3. Licences

Purchasing a standard Single License for 1-3 CPU’s permits the Licensee to install the Typeface(s) on the defined number of personal computers, within a company, institution, partnership, foundation, etc. This Single License grants use of the Typeface(s) on a maximum of 3 computers (owned by 1 respective owner), within one company or institution.

If additional users are required, the Licensee must purchase a Multi­ User License (from 4-6 CPU’s to 21-60 CPU’s) that matches the desired quantity of CPU’s the Licensee need to install the Typeface(s) on.

Font files are provided in OTF, TTF, WOFF, WOFF2 formats. The given Typeface may be converted to other formats such as SVG, as long as the font is not modified in any other way, such as changing names or altering individual glyphs, side bearing or kerning, coding, etc.

The standard Single License allows the use of the Typeface(s) for a defined number of views a website usually receives per month.  The standard Single License covers 1-10K website views per month. ln the case of higher monthly web traffic, the Licensee must purchase a Multi­ User License according to the traffic of the website. ln the case of an in crease in visitor numbers, the license must be updated on an annual basis.

The Multi License: 

4-6 CPU’S: 10K-50K website’s view per month.

7-10 CPU’S: 50K-100K website’s view per month.

11-20 CPU’S: 100K-250K website’s view per month.

21-60 CPU’S: 250K-500K website’s view per month.

ln the case of the closure of a website, the Typeface(s) and /or the license to use the Typeface(s) cannot be transferred. Standard License grants the right to use the Typeface(s) on app (with 0-50K downloads) and ePub (with 0-50K downloads).

Other licensing constructions and Big License (with more than 60 CPU’s) are available upon request.

 

        4. Logo License

If the Typeface(s) are used in the logo or wordmark of the License Owner’s company, an additional fee applies. lt depends on the yearly gross revenue of the enterprise/ company

        5. Limitation / Permissions

You are not permitted to edit, alter, modify, adapt or otherwise change the whole or any part of the Typeface(s) nor permit the whole or any part of the Typeface(s) to be combined with or become incorporated in any other typeface, nor decompile, disassemble or reverse engineer the Typeface(s) or attempt to do any such things. You are not permitted to reproduce, share, copy, distribute, resell or otherwise use the Typeface(s). You are not permitted to allow any third party to use the Typeface(s) on behalf of or for the benefit of any third party.

Fonts created and/or distributed by Typelab, including customized or bespoke typefaces, and all their constituents must not be amended, regenerated, or reformatted in any way.

Any rights, including but not limited to copyrights and trademarks, remain with Typelab.

The Intellectual Property of customized or bespoke typefaces remains with Typelab.

Fonts created and/or distributed by Typelab, including customized or bespoke typefaces, and all their constituents must not be resold, lent, rented, distributed, or traded in any way to third parties.

You may not open the original font software in an editing software in order to reveal its structure, organization or code.

 

        6. Warranty/Liability

ln no event will Typelab be liable to the Licensee for any consequential or incidental damages, including any lost revenue, profits, goodwill or savings, or for any claim by any third party.

Any use of Typelab Fonts that may result in harm, death, injury, property or environmental damages is not permitted. This includes the service of custom naming our Fonts.

The Licensee agrees that Fonts created and/or distributed by Typelab, their design, structure, organization, encoding, and all their copies, are owned by and valuable intellectual property of Typelab and their designers and protected under France law, by the copyright and trademark laws of other countries, and by international treaties.

Fonts are not warranted to operate on all computer operating systems. Typelab is not responsible for operating system errors or inoperability faults.

 

        7.  Termination

This License Agreement is effective as of the date of full payment for the adequate License. This License Agreement may be terminated by the Licensee at any time by destroying the Typeface(s) together with any printed material and all copies of the Typeface(s). lt will also terminate immediately if the Licensee fails to comply with any term of this EULA agreement Upon such termination, the licenses granted by this EULA agreement will immediately terminate and the Licensee agrees to stop all access and use of the Typeface(s). The provisions that by their nature continue and survive will survive any termination of this EULA agreement. Typelab reserves the right to update this agreement at any time without prior consent, notice or permission.

Any breach of this agreement immediately voids and annuls the complete License and any rights to use the Fonts.

Typelab may withdraw any Font Licenses from a License Owner in case that the License Owner uses the Fonts to spread hate, racism or any other form of discrimination. The license fee would not be refunded in this case.

 

        8.  Governing Law

This EULA agreement and any dispute arising out of or in connection with this EULA agreement shall be governed by and construed in accordance with the laws of France.

 

        9.  Final Provisions

If custom modifications are needed to be made for the Typeface(s), please contact Typelab directly at the given email address. For any modification to this agreement on request by the Client, Typelab will charge the Client a flat-fee of €1,000 at minimum to cover for additional legal work and fees.

Modified Typefaces remain subject to the same copyright as non-modified. Legal action will be pursued if the Licensee is found to be using the Typeface(s) illegally. Typelab may, at any time, request an audit in order to confirm that the Licensee is complying with the terms of this EULA.
